Terms of Service

IMPORTANT: This document is provided for informational purposes and is a template intended to outline the terms under which CleanFade operates. It does not constitute legal advice. You should consult with a qualified attorney for legal advice specific to your situation.

1. Acceptance of Terms

By accessing, browsing, or using CleanFade (available at cleanfade.xyz, including all subdomains, mobile applications, and related services, collectively referred to as "the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.

2. Description of Service

CleanFade is a national online directory platform designed to help consumers discover Black-owned barbershops across the United States. The Service provides the following features:

  • Search and Discovery: Consumers can search for barbershops by location, services offered, and other criteria using our search tools and interactive map
  • Barbershop Listings: Directory pages displaying business information including name, address, phone number, hours of operation, services offered, and photographs
  • Community Submissions: Users can submit new barbershop information to be added to the directory
  • Shop Owner Accounts: Barbershop owners can claim their listing, verify their ownership, and manage their business information through a dedicated dashboard
  • Paid Tiers: Optional premium features for shop owners, including verification badges, featured placement, and sponsored city listings

CleanFade acts solely as a directory and information platform. We do not provide barbershop services, employ barbers, or serve as an agent for any barbershop listed on the platform.

3. User Accounts and Responsibilities

Certain features of the Service require you to create an account through our authentication provider, Clerk. When creating and maintaining an account, you agree to the following:

  • You must be at least 18 years of age to create an account
  • You must provide accurate, current, and complete information during registration and keep that information up to date
  • You are solely responsible for safeguarding your account credentials, including your password and any authentication tokens
  • You are responsible for all activities that occur under your account, whether or not you authorized those activities
  • You must notify CleanFade immediately at hello@cleanfade.xyz if you suspect any unauthorized use of your account or any other breach of security
  • You may not create multiple accounts for deceptive purposes, share your account credentials with third parties, or transfer your account to another person without our written consent

CleanFade reserves the right to suspend or terminate any account that violates these Terms or that we reasonably believe is being used in an unauthorized or fraudulent manner.

4. Shop Owner Accounts and Listing Accuracy

If you are a barbershop owner or authorized representative who claims a listing on CleanFade, you agree to the following additional terms:

  • You represent and warrant that you are the owner of the barbershop or are duly authorized by the owner to manage the listing on their behalf
  • All business information you provide -- including shop name, address, phone number, hours of operation, services offered, and photographs -- must be accurate, current, and not misleading
  • You are responsible for keeping your listing information up to date. If your hours, services, location, or contact information change, you must update your listing promptly
  • You must not misrepresent the nature, quality, or scope of services offered at your barbershop
  • Photographs uploaded to your listing must accurately represent your business and must not infringe on the intellectual property rights of any third party
  • You acknowledge that CleanFade may display your business information publicly on the platform and in search engine results as part of the directory service

CleanFade reserves the right to edit, remove, or flag any listing that we determine, in our sole discretion, contains inaccurate information, violates these Terms, or is otherwise harmful to the integrity of the platform.

5. Community Submissions

CleanFade allows community members to submit barbershop information to be considered for inclusion in the directory. By submitting information about a barbershop, you agree to the following:

  • All information you submit must be accurate to the best of your knowledge and submitted in good faith
  • You must not submit false, misleading, or fabricated business information
  • You must not submit information about a business for the purpose of harassing, defaming, or otherwise harming the business or its owners
  • You understand that submissions are subject to review and moderation by CleanFade, and that we are under no obligation to publish any submission
  • You grant CleanFade a non-exclusive, royalty-free, perpetual license to use, display, and distribute the submitted information in connection with the Service
  • You acknowledge that your submitter email may be retained for moderation and communication purposes

CleanFade is not responsible for verifying the accuracy of community-submitted information prior to publication, though we make reasonable efforts to review submissions. If you are a barbershop owner and believe a community submission contains inaccurate information about your business, please contact us at hello@cleanfade.xyz or claim your listing to correct it directly.

6. Claiming and Verification Process

CleanFade offers a process by which barbershop owners can claim their listing and, optionally, obtain a verified status. The claiming and verification process operates as follows:

  • Claiming: Any barbershop owner or authorized representative may request to claim an existing listing. Claims are reviewed by CleanFade and may require you to demonstrate your affiliation with the business through documentation or other verification methods
  • Verification: Verified status is available as a paid service (see Section 8: Paid Services). Verification indicates that CleanFade has taken additional steps to confirm the legitimacy of the listing, but it is not a guarantee or endorsement of the quality of services provided by the barbershop
  • CleanFade reserves the right to approve, deny, or revoke any claim or verification in its sole discretion, including if we discover that the claimant is not the rightful owner or authorized representative of the business
  • Fraudulent claims -- including claiming a listing for a business you do not own or operate -- are a violation of these Terms and may result in immediate account termination and, where applicable, legal action

7. Prohibited Conduct

When using the Service, you agree not to engage in any of the following prohibited activities:

  • Submit false, misleading, or fraudulent information about any barbershop, including fake business listings, fabricated hours or services, or deceptive photographs
  • Claim or attempt to claim a listing for a barbershop that you do not own or are not authorized to represent
  • Use the Service to harass, defame, threaten, or intimidate any person or business
  • Post or transmit any content that is unlawful, harmful, threatening, abusive, hateful, racially or ethnically offensive, defamatory, or otherwise objectionable
  • Scrape, harvest, crawl, or use any automated means (including bots, spiders, and scrapers) to collect data from the Service without our prior written consent
  • Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Service or its content for commercial purposes without our written permission
  • Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service
  • Interfere with, disrupt, or attempt to compromise the integrity, security, or performance of the Service or its underlying infrastructure
  • Use the Service for any purpose that is unlawful or prohibited by these Terms, or in any way that could damage, disable, overburden, or impair the Service
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Manipulate search results, listings, or rankings through deceptive practices, including creating fake accounts or submissions to boost or harm a listing
  • Upload viruses, malware, or other harmful code to the Service

Violation of these prohibitions may result in immediate suspension or termination of your account and access to the Service, and may subject you to civil or criminal liability.

8. Paid Services

CleanFade offers optional paid tiers for barbershop owners who wish to enhance their presence on the platform. The current paid offerings are:

  • Verified ($49 one-time): A verification badge on your listing indicating that CleanFade has confirmed your ownership and the accuracy of your business information
  • Featured ($39/month): Enhanced visibility for your listing, including priority placement in search results and directory pages within your area
  • Sponsored City ($99-$299/month): Premium placement and branding within a specific city's directory page, with pricing based on market size

The following terms apply to all paid services:

  • Payment processing is handled by Stripe, a third-party payment processor. By purchasing paid services, you agree to Stripe's terms of service and privacy policy in addition to these Terms
  • The free tier -- which includes basic listing information such as name, address, phone number, hours, and a map pin -- will remain free permanently. We will never paywall basic discoverability
  • Subscription-based services (Featured and Sponsored City) will automatically renew at the end of each billing period unless you cancel before the renewal date
  • You may cancel subscription services at any time through your shop owner dashboard. Cancellation takes effect at the end of the current billing period, and no prorated refunds will be issued for partial billing periods
  • One-time payments (Verified) are non-refundable once verification has been completed, except where required by applicable law
  • CleanFade reserves the right to modify pricing for paid services at any time. We will provide at least 30 days' notice of any price changes to existing subscribers before their next billing cycle
  • CleanFade may revoke paid benefits, including verified status or featured placement, if you violate these Terms or if we determine that your listing contains materially inaccurate information

9. Intellectual Property

CleanFade's Intellectual Property. The Service -- including its design, layout, look and feel, graphics, logos, icons, software code, algorithms, text, images, and all other content and materials that are part of the platform (collectively, "CleanFade Content") -- is owned by CleanFade or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The CleanFade name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CleanFade. You must not use such marks without our prior written permission.

User Content. You retain ownership of any content you submit, post, or display on or through the Service, including business information, photographs, and descriptions ("User Content"). By submitting User Content, you grant CleanFade a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and CleanFade's business operations, including for promoting and redistributing part or all of the Service. This license continues for as long as your User Content remains on the Service, and for a reasonable period thereafter to allow for removal from caches and backups.

Representations. You represent and warrant that you own or have the necessary rights, licenses, and permissions to grant the above license for any User Content you submit, and that your User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, CleanFade makes no warranties or representations about the following:

  • Listing Accuracy: We do not guarantee the accuracy, completeness, timeliness, or reliability of any barbershop listing, including business names, addresses, phone numbers, hours of operation, services offered, photographs, or any other information displayed on the platform. Listings may contain information submitted by community members, aggregated from third-party data sources, or provided by shop owners, and we cannot independently verify all such information
  • Service Quality: CleanFade is a directory platform, not a provider of barbershop services. We are not responsible for the quality, safety, legality, or suitability of any services provided by barbershops listed on the platform. Your interactions with barbershops, including scheduling appointments, receiving services, and making payments, are solely between you and the barbershop
  • Availability: We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected
  • Search Results: Search results and rankings are generated algorithmically and may be influenced by paid features such as Featured and Sponsored placements. The order of results does not constitute an endorsement or recommendation by CleanFade
  • Verification: A verified badge indicates that CleanFade has taken steps to confirm the listing owner's identity and business information. It is not an endorsement, guarantee, or warranty of the barbershop's services, quality, or compliance with any laws or regulations

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEANFADE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • Your access to or use of, or inability to access or use, the Service
  • Any conduct or content of any third party on the Service, including any barbershop listed on the platform
  • Any content or information obtained from the Service, including barbershop listing information
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any services received from a barbershop discovered through the Service

IN NO EVENT SHALL CLEANFADE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO CLEANFADE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, CLEANFADE'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless CleanFade, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use of the Service or any activity under your account
  • Your violation of these Terms or any applicable law or regulation
  • Any User Content you submit, post, or otherwise make available through the Service
  • Your infringement of any intellectual property or other right of any third party
  • Any claim by a third party related to your barbershop listing, including claims regarding the accuracy of listing information or the quality of services provided
  • Your fraudulent or unauthorized claim of a listing

CleanFade reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware for the resolution of any disputes arising under these Terms.

14. Dispute Resolution

Informal Resolution. Before filing any formal legal action, you agree to first attempt to resolve any dispute with CleanFade informally by contacting us at hello@cleanfade.xyz. We will attempt to resolve the dispute informally within sixty (60) days. If the dispute is not resolved within that period, either party may proceed with formal legal action.

Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator in Wilmington, Delaware (or, at the election of the claimant, by telephone or videoconference). The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND CLEANFADE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and CleanFade agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

15. Termination

Termination by CleanFade. We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to a violation of these Terms, fraudulent activity, or conduct that we determine to be harmful to other users, barbershops, or the integrity of the platform.

Termination by You. You may terminate your account at any time by contacting us at hello@cleanfade.xyz or through your account settings. If you are a shop owner with active paid subscriptions, you are responsible for canceling those subscriptions before terminating your account. Termination of your account does not entitle you to a refund of any fees previously paid.

Effect of Termination. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

If you are a shop owner whose account is terminated, your listing may remain on the platform in an unclaimed state with publicly available business information (name, address, phone, hours), as this information is part of the public directory. You may request removal of any non-public information by contacting us at hello@cleanfade.xyz.

16. Changes to Terms

CleanFade reserves the right to modify, amend, or replace these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, at our discretion, may notify you through one or more of the following: a prominent notice on the Service, an email to the address associated with your account, or a notification within your account dashboard.

For material changes that affect your rights or obligations under these Terms, we will endeavor to provide at least thirty (30) days' notice before the changes take effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and, if applicable, terminate your account.

17. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and CleanFade regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will remain in full force and effect.

Waiver. The failure of CleanFade to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by CleanFade.

Assignment. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. CleanFade may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights in any person or entity that is not a party to these Terms.
